Overview

• The role supports a growing practice representing strategic private company buyers and sellers, private equity, venture capital, and other investors, as well as emerging companies and founders on corporate matters including mergers and acquisitions (M&A), emerging company and venture capital (ECVC) transactional matters, and corporate governance and counseling.
• Responsibilities include advising on middle-market M&A, encompassing platform acquisitions, sale processes, add-on acquisitions, joint ventures, and other strategic transactions.
• The associate will advise private companies and their boards, and private equity portfolio companies on corporate governance and counseling; and emerging growth companies and founders on corporate governance, entity formation, and day-to-day legal matters through the company lifecycle.
• Work also involves advising emerging growth companies and venture capital funds on venture financings, including seed, Series A, and later-stage equity financings.
• Core tasks include assisting with transaction structuring, due diligence, negotiation, and closing processes, as well as coordinating and managing due diligence review and workstreams across deal teams.
• The position requires drafting and negotiating various transaction documents, such as financing documents, purchase agreements, governance materials, disclosure schedules, ancillary agreements, and closing documentation.
• The Corporate practice group advises on complex transactional matters across industries, with strengths in emerging companies and venture capital, middle-market M&A, and strategic corporate transactions.
• Preference for candidates with prior experience in mergers and acquisitions, venture financings, emerging companies, and general corporate matters.
