Job summary

GLOVIS America, Inc. in Irvine, CA is seeking a Junior Associate Attorney to support AHQ and its subsidiaries with contract, insurance, and corporate governance matters.

The role will survey, analyze, and report on contracts and insurances, manage risk, and help draft policies to safeguard compliance. The attorney will handle large-scale projects including real estate, M&A, entity reorganization, and joint ventures, and assist with litigation coordination and preventive controls.

Qualifications

• J.D. from an accredited law school.
• Strong legal writing and research skills, and case analysis.
• Draft contracts, letters, policies, and reports.
• Strong ability to identify, analyze, and mitigate legal risks in complex business operations.
• Interest in automotive industry, logistics or corporate.
• Strong attention to detail with a high degree of accuracy, professional skepticism, and commitment to delivering high-quality work products.
• Ability to effectively manage multiple priorities, perform under pressure, and meet tight deadlines while maintaining work quality.
• Willingness and flexibility to travel frequently across subsidiary locations within the Americas region.
• Professional certification such as CPA, CIA, CISA, or equivalent qualifications preferred

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements, including customer and supplier agreements, and intercompany agreements.
• Oversee the lifecycle of contracts, including tracking amendments, renewals, and ensuring adherence to terms and conditions.
• Develop and update contract templates and internal contracting processes and training.
• Handle legal aspect of large scale projects at corporate level such as real estate transaction, M&A, entity reorganization, and joint ventures.
• Draft, distribute and collect periodic surveys to assess the status of each subsidiary company’s contracts and insurances, and ongoing litigations.
• Analyze, identify and evaluate risk factors over the survey outcomes, and draft a report summarizing the findings and recommendations including proper insurance coverage to hedge risks.
• Collaborate with internal teams to draft, update, and maintain company policies in alignment with legal and operational requirements.
• Oversee litigation processes, including coordinating with external counsel and advising on strategy for resolving disputes.
• Analyze and summarize the lessons learned from litigation and distribute preventive measures to operational teams
