Qualifications

• 1-5 years of experience in corporate transactional work at a law firm.
• Experience with mergers and acquisitions, venture financings, and corporate matters preferred.
• Strong drafting, negotiation, and organizational skills.
• Ability to manage multiple matters in a fast-paced environment.
• Interest in advising private companies, investors, and founders.

Responsibilities

• Advise private companies and investors on middle-market mergers and acquisitions.
• Provide corporate governance and counseling to private companies and their boards.
• Support emerging growth companies on entity formation and legal matters.
• Assist with venture financings, including seed and Series A rounds.
• Participate in transaction structuring, due diligence, and negotiation processes.
• Draft and negotiate transaction documents and agreements.
• Coordinate due diligence review and manage deal timelines.
• Collaborate with attorneys in related practice areas.
