BCG Attorney Search is recruiting a high-energy Corporate Associate Attorney for San Jose, CA. The role targets an attorney with over four years of corporate experience who thrives in a fast-paced, collaborative environment and is ready to take on significant responsibility.

The position emphasizes leading VC financings, private acquisitions, startup counsel, and drafting complex agreements with a strong emphasis on securities compliance.

Qualifications

• JD from an accredited law school.
• Active California Bar membership.
• 4–5 years corporate law experience, ECVC and M&A.
• Strong drafting and negotiation for complex contracts.
• Knowledge of securities exemptions and Blue Sky rules is preferred.
• Familiarity with QSBS and tax optimization is a plus.

Responsibilities

• Lead venture capital financings, drafting NVCA-based documents, SAFEs, and convertible notes.
• Manage buy-side and sell-side private acquisitions, including due diligence and closing.
• Serve as outside general counsel for startups, advising on entity formation and equity compensation.
• Draft, review, and negotiate commercial and technology agreements, including tech transfer and IP licensing.
• Be the primary client contact, delivering strategic legal advice.
