Confidential Employer in California seeks a Junior Banking & Finance Associate to join our Los Angeles or Palo Alto team. This role offers exposure to corporate finance, secured lending, and sophisticated financing transactions alongside experienced attorneys.

You will draft, review, and negotiate credit agreements, commitment papers, and security documents, and assist with financing closings. A JD and 1+ year transactional finance experience are required.

Qualifications

• 1+ years of experience in corporate finance, commercial lending, or other transactional finance matters.
• Experience drafting, reviewing, or negotiating loan and financing documents.
• Familiarity with UCC secured transactions and corporate law.
• Strong drafting, analytical, negotiation, and communication abilities.

Responsibilities

• Represent borrowers, lenders, and other participants in sophisticated financing matters.
• Draft, review, and negotiate credit agreements, security agreements, and related loan documents.
• Assist with corporate financing, secured lending, and complex commercial credit transactions.
• Work on UCC-related secured transactions and collateral arrangements.
• Conduct due diligence, identify risks, and support financing closings.
• Collaborate with attorneys and clients to structure and execute financing transactions.

We are seeking a motivated Junior Banking & Finance Associate Attorney to join our Los Angeles or Palo Alto team. This is an exciting opportunity to develop your expertise in corporate finance and sophisticated lending transactions while working alongside experienced legal professionals.In this role, you will:

• Represent borrowers, lenders, and other transaction participants in sophisticated financing matters.
• Draft, review, and negotiate credit agreements, commitment papers, security agreements, and other loan documentation.
• Assist with corporate financing, secured lending, and complex commercial credit transactions.
• Work on matters involving the Uniform Commercial Code (UCC), including secured transactions and collateral arrangements.
• Conduct due diligence, identify transaction risks, and support financing closings.
• Collaborate with experienced attorneys and clients to structure and execute financing transactions.
• Gain exposure to emerging sectors, including data centers, digital infrastructure, and technology-related financing opportunities.
• Develop your transactional skills while taking on increasing responsibility within a supportive team.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• 1+ years of experience in corporate finance, commercial lending, or other transactional finance matters.
• Experience drafting, reviewing, or negotiating loan and financing documents.
• Familiarity with credit agreements, security agreements, commitment papers, or related transactional documentation.
• Knowledge of UCC secured transactions and general corporate law.

• Strong academic credentials preferred.
• Experience with data center or digital infrastructure financing is a plus.
