Job summary

MPI, a top-ranked global law firm, seeks a Corporate Paralegal to support the Corporate practice by preparing legal documents for clients, overseeing IPO-related tasks, and providing pre-closing, closing and post-closing assistance.

You will conduct legal research, draft and review filings, and coordinate with attorneys and business teams to ensure compliance. The role offers strong tech tools and generous benefits.

Qualifications

• 2+ years of experience in corporate law, ideally in a Big Law environment.
• Strong knowledge of legal terminology and corporate governance practices.
• Strong research skills; utilizing legal research software Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, Carta, etc.
• Experience in IPO and public company matters strongly preferred.
• Excellent organizational and time management skills.
• Attention to detail and ability to manage multiple tasks simultaneously.
• Strong communication and interpersonal skills to collaborate with various teams.

Responsibilities

• Assist with drafting, reviewing, and filing legal documents related to corporate transactions.
• Conduct legal research and summarize findings for attorneys.
• Oversee IPO transaction tasks, including draft checklists, attend due diligence meetings, proofread legal documents and coordinate site visits
• Prepare deal documents, including disclosures, exhibits, SEC filings, questionnaires, financing statements, cusip number applications, purchase agreements and merger agreements
• Support corporate governance activities, including maintaining corporate records and preparing board materials.
• Coordinate and manage document submissions to regulatory bodies as needed.
• Collaborate with legal and business teams to ensure compliance with legal and regulatory requirements.
• Maintain and organize files, ensuring accurate and accessible record-keeping.
• Assist with due diligence for corporate transactions and other legal projects.
• Provide general administrative support to the legal department.
