Qualifications

• J.D. from an accredited law school; eligible for California Bar admission.
• Strong legal drafting and analytical skills; experience with private equity fund formation is a plus.
• Excellent written and verbal communication; ability to manage multiple workstreams and deadlines.

Responsibilities

• Manage components of private investment fund formations, including launches, admissions and closings.
• Draft, review and negotiate fund formation documents (LPAs, subscription agreements, side letters).
• Identify legal and documentation issues, exercise independent judgment, and collaborate with senior attorneys.
• Serve as a point of contact for fund formation matters with clients, investors and attorneys.
• Prepare fund-structure charts, board materials and related fund documentation.
• Assist with regulatory and compliance filings for fund formations.
• Oversee aspects of the closing process and coordination of deliverables.
• Contribute to best practices and process improvements within the practice.
