Job summary

Winston Taylor LLP in Chicago seeks an experienced private equity funds attorney to lead fund formation projects, draft key agreements, and negotiate term sheets. Your work will include PPM drafting, partnership agreements, and ancillary documents for fund sponsors.

You will review fund documentation for institutional investors, negotiate terms, and structure governing documents for PE fund management companies and GPs.

Qualifications

  • Experience with private equity secondary transactions or GP-led restructurings is a plus.

Overview

  • The role requires significant experience assisting private equity fund sponsors with fund formation, encompassing the preparation and negotiation of fund private placement memoranda, partnership agreements, and ancillary agreements.
  • Candidates should also have experience reviewing fund documentation for institutional investors and negotiating fund terms, and/or structuring and drafting governing documents for private equity fund management companies and general partners.
  • A working knowledge of relevant securities rules and regulations, including the Investment Advisers Act, is required.
  • Experience with private equity secondary transactions and/or GP-led restructurings would be helpful.
