Job summary

Kirkland & Ellis LLP in New York seeks an Investment Funds Paralegal to support partners in fund formation and investment management transactions.

You will assist with pre/post-closing activities, investor materials, and regulatory filings, while maintaining calendars and creating reports in Excel. Strong MS Word/Excel proficiency and DMS experience are required; travel may be needed.

Qualifications

• Bachelor’s degree or equivalent experience.
• At least 3 years paralegal experience, preferably in a law firm handling complex transactional matters with exposure to fund formation or investment management.
• Strong skills in Microsoft Word, Excel, and Outlook; experience using a Document Management System; familiarity with Microsoft Access is a plus.

Responsibilities

• Transaction Support: Assist with pre-closing, closing, and post-closing activities for investment fund transactions, ensuring accuracy and timeliness throughout the process.
• Investor Subscription Management: Prepare, review, track, and maintain investor subscription materials, including subscription booklets, indexes, and related documentation.
• Regulatory Filings: Prepare and file regulatory documents, including Form ID and Form D filings with the U.S. Securities and Exchange Commission (SEC), and obtain EDGAR codes.
• Document Preparation & Filing: Prepare and coordinate the filing of formation, tax, and securities documents, as well as closing notices and side letter compendia.
• Data & Reporting: Create and maintain Excel spreadsheets and reports tracking investor subscriptions, deadlines, and transaction-related data.
• Calendar & Deadline Management: Maintain and update calendars to track key deadlines across multiple matters.
• Attorney Support: Provide day-to-day legal and administrative support to attorneys in the Investment Funds practice, including proofreading, scanning, duplicating, and saving documents to the Document Management System (DMS).
• Administrative Coordination: Handle signature page distribution, maintain hard and electronic files, and assist with clerical tasks as needed to support the broader practice.
