The ideal candidate will have 3+ years of fund formation and private investment fund experience, with strong knowledge of partnership, LLC, and corporate structures, and solid investor documentation skills.

Qualifikationen

• Bachelor's degree or ABA-approved Paralegal Certificate is preferred.
• 3+ years of investment funds, private equity, hedge fund, or corporate transactional paralegal experience.
• Experience supporting fund formation and private investment fund matters within a law firm environment.
• Strong understanding of partnership, LLC, and corporate entity structures.
• Experience with investor subscription documentation and fund closings.
• Advanced proficiency with Microsoft Office Suite (Word, Excel, Outlook).
• Exceptional organizational skills with strong attention to detail.
• Ability to manage multiple priorities and work effectively under tight deadlines.
• Excellent written and verbal communication skills.

Aufgaben

• Assist attorneys with formation and ongoing maintenance of private investment funds.
• Prepare and manage fund formation documents, subscription agreements, investor questionnaires, side letters, and closing binders.
• Coordinate fund closings and investor onboarding processes.
• Maintain corporate records, entity formation documents, and governance materials for funds and management companies.
• Support preparation and filing of regulatory documents and state filings.
• Track investor commitments, capital contributions, distributions, and related documentation.
• Conduct legal and corporate research related to fund structures and regulatory requirements.
• Coordinate with clients, investors, opposing counsel, fund administrators, and service providers.
• Manage document databases, deal rooms, and electronic file organization.
• Assist with due diligence reviews and compliance-related projects.
