A leading New York law firm is seeking an Investment Funds Associate to work closely with partners on matters related to private investment funds' formation and operation. Candidates should have 2-6 years of experience in investment funds at a top-tier law firm, strong drafting and negotiation skills, and familiarity with U.S. federal securities laws. Qualifications

We are seeking a talented Investment Funds Associate to join a leading New York law firm with a highly ranked private funds practice.

Role Overview

You will work closely with partners and senior attorneys on a broad range of matters relating to the formation, structuring, and ongoing operation of private investment funds across asset classes, including private equity, venture capital, real estate, credit, and hedge funds. The role also includes advising on regulatory and compliance matters, co-investment arrangements, secondary transactions, and fund governance.

Key Responsibilities

• Draft and negotiate fund formation documents, subscription agreements, side letters, and other investor documentation.
• Advise fund sponsors on structuring considerations, regulatory obligations, and market trends.
• Support transactional teams on fund-related M&A, secondary sales, and joint ventures.
• Liaise directly with clients, including fund managers, institutional investors, and family offices.

Candidate Requirements

• 2-6 years’ post-qualification experience in investment funds at a top-tier law firm.
• Strong experience in private fund formation and investment management matters.
• Familiarity with U.S. federal securities laws, including the Investment Advisers Act and Investment Company Act.
• Exceptional drafting, negotiation, and client communication skills.
• New York Bar admission (or ability to waive in).
