  • Must be located in or willing to relocate to the New York metro area.

Job description

We are seeking an ambitious, highly analytical Investment Banking Associate to join our premier Technology & Software M&A group in New York. In this role, you will play a critical, hands‑on role in executing complex, high‑profile buy‑side and sell‑side M&A transactions, divestitures, joint ventures, and strategic advisory mandates across the technology landscape— with a strong concentration in enterprise software, SaaS, vertical software, and tech‑enabled services.

Transaction Execution & Financial Modeling:
  • Valuation & Modeling: Build, refine, and audit detailed financial models, including Leveraged Buyout (LBO), Discounted Cash Flow (DCF), Merger Arbitrage/Accretion‑Dilution, Three‑Statement, and Comparable Companies / Precedent Transactions analyses.
  • Software Dynamics: Apply specialized software financial metrics (e.g., ARR/MRR, Net Retention Rate (NRR), CAC Payback, Magic Number, Rule of 40, LTV/CAC, Gross/Net Churn) to valuation and narrative development.
  • M&A Process Management: Lead the day‑to‑day execution of sell‑side and buy‑side processes, including creating Confidential Information Memoranda (CIMs), Teasers, Management Presentations, virtual data rooms (VDR), and detailed buyer logs.
  • Due Diligence: Direct financial, operational, and commercial due diligence workflows, serving as the primary bridge between target management teams, private equity sponsors, legal counsel, and accounting advisors.
Pitching & Deal Origination:
  • Pitches & Proposals: Structure and draft high‑impact client presentations, pitch decks, board presentations, and fairness opinions.
  • Market Intelligence: Conduct deep strategic research on tech sub‑sectors, competitive dynamics, emerging SaaS trends, and capital market movements to identify prospective transaction opportunities.
Qualifications & Skills
  • Experience: 2 to 4 years of directly relevant experience in Investment Banking, Corporate Development, or M&A Advisory with a focus on Technology, Media, & Telecom (TMT) or Software.
  • Candidates who completed a 2–3 year Analyst program at a bulge bracket, elite boutique, or tech‑focused middle‑market firm are strongly preferred.
  • Education: Bachelor’s degree in Finance, Economics, Computer Science, Engineering, or a related field with distinguished academic performance. An MBA from a top‑tier institution is a plus.
  • Work Ethic & Location: Ability to thrive in a fast‑paced environment under tight deadlines. Must be located in or willing to relocate to the New York metropolitan area.
