Job summary

Page Executive in New York City seeks a senior attorney to lead the legal review and risk assessment of broadly syndicated debt investments, focusing on infrastructure financing and related transactions.

With 7–15+ years of project finance experience and NY Bar admission, you will advise investment teams, draft memoranda, and support governance initiatives, while aligning with overall organizational objectives. Onsite 3+ days per week in NYC.

Qualifications

• JD from a top US law school with excellent academic credentials.
• 7-15+ years of in-depth project finance/infrastructure finance experience at a top law firm or combined with in-house at an investment manager.

Responsibilities

• Lead legal review and risk assessment of debt investment transactions, with a focus on broadly syndicated loans.
• Provide legal support for debt financing components of infrastructure and equity investments.
• Advise internal stakeholders on legal considerations throughout the investment lifecycle.
• Contribute to strategic and corporate legal initiatives, including presentations and memoranda for internal committees and senior management.
• Support broader Legal Department priorities and special projects as needed.

Job Description

• Lead legal review and risk assessment of debt investment transactions, with a primary focus on broadly syndicated loans, including analysis of transaction documentation, identification of legal risks, preparation of investment committee memoranda, and partnership with investment professionals throughout transaction execution.
• Provide legal support for the debt financing components of infrastructure and equity investments, including acquisition financings, refinancing transactions, and related financing matters.
• Advise internal stakeholders on legal considerations throughout the investment lifecycle, collaborating closely with investment teams to facilitate efficient execution and informed decision-making.
• Contribute to strategic and corporate legal initiatives, including the development of presentations, memoranda, and materials for internal committees and senior management.
• Support broader Legal Department priorities and special projects as needed, ensuring alignment with organizational objectives and governance requirements.

The Successful Applicant

• JD from top US law school with excellent academic credentials.
• 7-15+ years of in depth project finance/infrastructure finance experience gained at a top law firm or combined experience at a top law firm and in-house at an investment manager, focused on debt investments.
• NY State Bar admission.
• Subject matter expertise in debt finance structures relating to infrastructure assets, including direct lending, term loan B's, term loan A's, private placements, PPPs, revolving facilities, ABLs, Holdco and mezzanine facilities, club deals and broadly syndicated loans.
• Excellent written and verbal communication skils.
• Strong business acumen.
• Ability to work onsite 3+ days per week in New York City.
