Job summary

Life & Health Insurance Products is seeking a Commercial Counsel to identify, analyze and advise on a broad range of contractual matters to support the legal team and operations.

The role focuses on drafting, negotiating and reviewing agreements including IP licensing, vendor contracts, SaaS, leases, intercompany deals, and marketing agreements, with emphasis on efficient, scalable processes and use of AI to speed review and drafting.

Qualifications

• JD from an accredited law school with excellent academic credentials; licensed to practice.
• 3+ years of law firm and/or in-house experience.
• Familiarity with contract lifecycle management and AI-assisted review/drafting.

Responsibilities

• Draft, negotiate and review a wide range of agreements including IP licensing, supplier and vendor contracts, SaaS, commercial leases, intercompany agreements, marketing and carrier contracts.
• Develop and update playbooks across key legal workstreams.
• Collaborate with internal stakeholders, other attorneys, and outside counsel as directed.
• Provide pre-litigation support for commercial contract disputes and audits.
• Innovate with technology and workflow improvements to scale legal support.
• Improve efficiency and consistency of contracts across the organization.

Major, Lindsey & Africa’s corporate client is seeking an attorney to identify, analyze and advise the company on a variety of contractual legal and corporate matters to support the legal team and the operations of the company.

Position Title: Commercial Counsel

Company: Life & Health Insurance Products

Key Responsibilities:

• Draft, negotiate and review a wide range of agreements, including complex matters relating to intellectual property including licensing and sublicensing, supplier and vendor agreements, SaaS solutions, commercial leases, intercompany agreements, marketing agreements, carrier contracts, and other commercial transactions.
• Develop and continually update playbooks that incorporate prior experience and industry best practices across key legal workstreams.
• Work efficiently and collaboratively with internal stakeholders, other attorneys in the department, and outside counsel (as directed).
• Provide pre-litigation legal support regarding commercial contract disputes, including assisting with vendor audits.
• Develop and oversee efficient, scalable approaches for providing legal support, including the innovative use of technology and workflow improvements.
• Continually improve the efficiency and effectiveness of legal contract support within the company while maintaining the quality and consistency of contracts across the organization, following all applicable best practices, processes and procedures.
• Other duties as may be assigned.
