Vermont Housing Finance Agency (VHFA) seeks an experienced real estate finance attorney to provide strategic legal leadership for complex affordable housing transactions across Vermont.

You will oversee legal execution, document drafting, and closing of multifamily rental and homeownership development deals, partnering with finance teams, outside counsel, and public partners to protect VHFA’s interests and ensure timely closings.

Qualifikationen

• J.D. from an accredited law school and active Vermont Bar admission or eligibility.
• Minimum 7 years of progressive experience in commercial real estate transactions, real estate finance, municipal/bond law, or affordable housing development law.

Aufgaben

• Serve as VHFA’s lead attorney for multifamily rental housing and homeownership development transactions, ensuring closings are legally sound and aligned with financing terms.
• Identify and resolve legal issues affecting closing, enforceability, priority, collateral, compliance, or VHFA’s financial interests.
• Coordinate the Closing Specialist, internal teams, outside counsel, borrowers, developers, lenders, investors, and agencies to resolve issues and close on schedule.
• Draft, review, and finalize financing commitments, loan documents, regulatory agreements, security instruments, guarantees, and subordination agreements reflecting approved terms.
• Provide guidance on low-income housing tax credits, state housing credits, bonds, and other VHFA programs.
• Ensure final documents and post-closing requirements are complete and ready for servicing and asset management.
• Coordinate TEFRA notices and related tax-exempt bond closing documentation.
