EisnerAmper, a leading accounting, tax, and advisory firm, is seeking an Associate Attorney to join our in-house legal team in Baton Rouge. You will review and negotiate client engagement letters, NDAs, MSAs, BAAs, subcontractor agreements and government contracts, while advising firm directors on risk and compliance.

This role emphasizes collaboration, process improvement, and the implementation of AI tools to increase efficiency.

Formación

• J.D. degree with current bar admission.
• 3+ years of post-law school contract drafting, review and negotiation.
• Ability to independently review, respond to and negotiate commercial agreements (MSAs, BAAs, subcontractor agreements, government contracts).
• Strong contract drafting and negotiation skills (engagement letters, NDAs, MSAs).
• Clear, confident communicator with internal/external stakeholders.
• Ability to manage multiple matters and deadlines in a fast-paced environment.
• Familiarity with HIPAA and data privacy requirements related to BAAs.
• Ability to spot and balance business and legal risks.

Responsabilidades

• Review and negotiate client engagement letters based on Firm templates; advise on risk and fallback language.
• Draft, review and negotiate NDAs and third-party access agreements.
• Respond to RFPs; review requirements and coordinate with business teams.
• Manage the legal department's Smartsheet intake process and tracking of requests.
• Review and negotiate MSAs, BAAs, subcontractor agreements and government contracts; identify risks and revisions.
• Provide legal support to the Firm's directors on contract and engagement matters; escalate as needed.
• Maintain and improve contract templates, playbooks, and process documentation.
• Implement and understand AI tools to increase efficiencies.
