Job summary

Henderson Group seeks a Senior Corporate Associate Attorney to join its Real Estate & Commercial Development Practice in Charlotte or Raleigh. The role offers hybrid work and significant client contact on sophisticated business transactions, mergers and acquisitions, and related corporate matters.

The candidate will work closely with public and private companies, private equity sponsors, investors, and entrepreneurs, handling transactions from structuring through closing with mentorship and team

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina, in good standing.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from LOI through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
