Job summary

Lam Research seeks a Corporate Counsel in California to support securities, governance, finance, and executive compensation matters, ESG obligations, and subsidiary management. Provide timely legal advice to critical business functions and partner with the Corporate Legal team in the U.S.

You will collaborate across internal teams and outside counsel to navigate complex regulatory landscapes and support growth initiatives.

Qualifications

• JD degree from a well-regarded law school.
• State bar membership; ability to practice in California as in-house counsel.
• 2–5+ years of corporate and securities law experience; experience at a nationally recognized law firm.

Responsibilities

• Support securities law compliance and corporate governance for the Board and executives.
• Draft, prepare, and review SEC filings with various stakeholders.
• Oversee global subsidiary governance and entity management for domestic and foreign subsidiaries.
• Advise Investor Relations and Corporate Communications on external disclosures.
• Support ESG disclosures and reporting obligations.
• Advise on equity and executive compensation programs.
• Assist Treasury in securities offerings, credit agreements, and share repurchases.
• Maintain governance documents and prepare materials for board/committee meetings.
• Provide training on corporate policies including insider trading.
• Support Corporate Development in acquisitions and investments; manage outside counsel.
• Collaborate with Accounting, ESG, HR, Treasury, and Corporate Development.
