Job summary

McGuireWoods LLP seeks a Private Equity and Corporate Transactional Paralegal in our Dallas, Texas office. You will draft corporate documents, file entity filings and UCC documents, assist with closings and post-closing tasks, and support multiple practice areas.

Ideal candidates have a four-year degree (or five years of relevant work experience), an ABA-accredited paralegal certification, and strong written/verbal communication skills.

Qualifications

• Four-year degree preferred or five years of related work experience.
• Paralegal certification from an ABA-accredited program preferred.
• Excellent written and verbal communication skills.
• Professional and courteous interaction with colleagues.

Responsibilities

• Reviews lifecycle activities related to domestic entity governance documentation for corporations, LLCs, partnerships and investments.
• Prepares and files entity formations, qualifications, amendments and dissolutions.
• Drafts resolutions, consents, and secretary’s/incumbency certificates.
• Prepares documents for mergers, reorganizations, share issuances, and related filings.
• Prepares and files fictitious name certificates and annual reports.
• Prepares bylaws and operating agreements.
• Assists with UCC, lien, and other searches; handles EDGAR-related tasks as applicable.
• Collaborates with practice groups to provide support.
• Supports close processes and post-closing tasks as needed.
