Qualifications

• Four-year degree preferred or five years of relevant work experience.
• ABA-accredited paralegal certification preferred.
• Excellent written and verbal communication skills.
• Interest in using innovative AI technology to support high-impact work (e.g., Harvey, Copilot).

Responsibilities

• Reviews and summarizes entity governance documents for corporations, LLCs, partnerships, and investments.
• Prepares formation, qualification, amendment, dissolution, withdrawal, liquidation, and foreign registrations.
• Prepares resolutions, consents, secretary’s and incumbency certificates.
• Prepares mergers, conversions, reorganizations, stock issuances, and related documents.
• Prepares fictitious name certificates, bylaws, and operating agreements.
• Files annual reports, reinstatements, Form SS-4 for EINs, and related filings.
• Performs document distribution, signature process, and due diligence support.
• Supports corporate structuring and financing transactions; analyzes UCC, liens, and judgments.
