Qualifications

• Four-year degree or 5+ years of relevant work experience.
• Paralegal Certification from ABA-accredited program preferred.

• Interest in using AI technology (Harvey and Copilot) to support high-impact work.

Responsibilities

• Draft corporate formation and ancillary transaction documents.
• File corporate and UCC documents and filings.
• Assist with closing process and post-closing tasks, including preparing closing sets.
• Prepare entity resolutions, consents, and secretary’s/incumbency certificates.
• Prepare bylaws and operating agreements.
• Prepare and file domestic annual reports and reinstatements.
• Prepare Form SS-4 with the IRS to obtain EINs.
• Coordinate filing of UCCs with service providers.
• Research statutes and due diligence support.
• Support corporate structuring and financing transactions.
