Responsibilities

• Draft, review, and negotiate merger agreements, stock purchase agreements, and related documents.
• Manage and close M&A transactions.
• Conduct legal due diligence.
• Advise clients on general corporate and business matters.
• Work with partnership agreements, joint ventures, and LLC operating agreements.
• Handle representations and warranties insurance underwriting issues.
