Job summary

Ballard Spahr LLP seeks a corporate paralegal to support our Business and Transactions Department. Hybrid work is available, based in Phoenix, with potential collaboration across national offices.

You will assist on M&A, securities matters, closing documentation, due diligence, and regulatory filings, while maintaining precise time records for billing and payroll. A strong background in corporate law is required.

Qualifications

• Paralegal experience, preferably 5 years, including corporate paralegal work.
• Four-year college degree and paralegal certificate preferred.
• Must have intermediate-level skills with Microsoft Office, document management systems, and time-keeping software.

Responsibilities

• Support mergers and acquisitions and securities practices.
• Act as liaison with clients and attorneys; respond to client requests; coordinate case-related documents.
• Prepare closing documentation, including drafting, organizing, proofreading and assembling documents.
• Prepare mergers and acquisitions documents, general corporate documents, including corporate approvals.
• Prepare applications to state and federal regulators.
• Conduct, organize, review and summarize due diligence documents; prepare disclosure schedules.
• Prepare closing checklists and track closing items; perform post-closing follow-up.
• Keep daily time records and hours for payroll and client billing.
