Job summary

Katten is seeking an experienced Corporate Mergers & Acquisitions Paralegal to support supervising attorneys across general corporate transactions in New York.

The role offers a hybrid arrangement (onsite and remote) with a 1,550 billable hour target, and requires at least five years of related experience, a paralegal certificate a plus, and strong research and drafting skills.

Qualifications

• Five+ years of corporate paralegal experience, preferably in a law firm.
• Paralegal certificate from ABA-accredited program a plus.
• Private Equity/M&A experience strongly preferred.

Responsibilities

• General corporate governance, including entity formation; preparing stock certificates; drafting documents for amendments, withdrawals, mergers, conversions and dissolutions of corporations, partnerships and LLCs.
• Draft and file annual reports, resolutions, articles of incorporation, by-laws, certificates of formation and operating agreements.
• Draft and file EIN applications with IRS.
• Prepare and file UCC financing statements and releases.
• Prepare minutes and maintain corporate minute books.
• Assist with corporate transactional work, including conducting UCC/lien searches as part of due diligence process, closings, and reorganizations.
• Prepare closing sets for completed transactions.
• Obtain apostilles and other legalizations of corporate records and documents.
• Attention to detail and timelines; organize and prioritize numerous tasks under time constraints.
• Maintain up-to-date time reports for accurate client billing.
