Job summary

LJW Solutions is seeking a Corporate Finance Associate in the Dallas or Houston area (TX) with 1–5 years of experience to work on sophisticated financing transactions at a leading global law firm. You will represent agents, lenders, and borrowers, draft and negotiate credit agreements, and manage closing deliverables in a hybrid environment.

You will gain direct client exposure, mentorship from partners, and opportunities for progression as you handle key aspects of transactions from drafting

Qualifications

• 1–5 years of experience in corporate finance, banking, or lending transactions.
• Experience drafting and negotiating credit agreements and related financing documentation.
• Exposure to syndicated lending, acquisition finance, or private credit transactions.
• Strong drafting, negotiation, and transaction management skills.
• Excellent academic credentials and a proactive, commercially minded approach.
• Admission to Texas Bar preferred.

Responsibilities

• Represent administrative agents, lenders, and borrowers in financing transactions.
• Advise on syndicated credit facilities, acquisition financings, and private credit transactions.
• Draft and negotiate credit agreements, commitment letters, term sheets, and security agreements.
• Prepare intercreditor agreements, subordination agreements, and transaction closing documentation.
• Manage transaction processes, coordinate closing deliverables, and liaise directly with clients.
• Support financing transactions involving private equity sponsors and portfolio companies.
