Wayfair is seeking a strategic, business-minded corporate lawyer to join our Boston-based corporate legal team. This hybrid in-office role offers end-to-end ownership of subsidiary governance, SEC filings, and D&O/questionnaires, with high visibility across the corporate function.

Based in Boston, this role emphasizes scalable processes, AI and legal tech adoption, and collaboration with senior counsel on board matters and major transactions. 1–3+ years of experience required.

Qualifications

• J.D. from an accredited law school and admission to practice.
• 1–3+ years of relevant experience in a law firm or in-house corporate setting.
• Interest in using technology to streamline corporate processes and compliance.

Responsibilities

• Serve as primary point of contact for subsidiary governance across domestic and international entities.
• Maintain entity management system, minute books, and compliance calendars.
• Own Section 16 filings (Forms 3, 4, 5) and insider ownership monitoring.
• Support preparation of routine SEC filings (10-K, 10-Q, 8-K) and diligence.
• Develop tools and workflows to automate corporate processes and reduce manual work.
• Support Board and committee matters with drafting resolutions and minutes.
