Job summary

CyberCoders is seeking a Corporate Associate Attorney in Manchester, NH, offering a hybrid work arrangement. The ideal candidate has 3+ years of corporate or transactional experience and will advise on mergers and acquisitions, corporate governance, and general business matters.

The position requires a J.D. from an ABA-accredited school and active NH Bar membership or eligibility, with strong drafting, negotiation, research, and communication skills to support clients and teams.

Qualifications

• Juris Doctor degree from an accredited law school.
• Active NH Bar membership or eligibility for prompt admission.
• 3+ years of corporate or transactional legal experience.
• Experience drafting and negotiating commercial agreements and documents.
• Strong knowledge of corporate governance and entity formation.
• Excellent legal research, writing, and communication skills.
• Able to manage multiple matters and meet deadlines with attention to detail.
• Commitment to delivering practical, client-focused counsel.

Responsibilities

• Advise privately held companies, owners, executives, and investors on corporate matters.
• Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, and related documents.
• Support mergers, acquisitions, reorganizations, financings, and other transactions.
• Counsel clients on entity formation, governance, fiduciary duties, and ongoing compliance.
• Conduct and coordinate due diligence for business transactions.
• Collaborate with attorneys across tax, employment, real estate, and other practice areas.
• Manage client relationships and communicate practical recommendations clearly.
• Assist with business development efforts to grow the corporate practice.
