Job summary

Protouch Staffing seeks a highly motivated Corporate Associate to join a collaborative corporate practice in New Hampshire. The attorney will advise on a broad range of business and transactional matters and grow their own practice with support from an experienced team.

This full-time position offers exposure to mergers and acquisitions, venture capital financing, private offerings, and regulatory matters, with opportunities to manage client relationships and build a long-term transactional

Qualifications

• J.D. from an accredited law school.
• Active NH bar in good standing; MA admission a plus.
• At least 3 years in a sophisticated corporate/transactional practice.
• Strong knowledge of corporate transactions, formation, M&A, VC financing, private offerings, and securities laws.

Responsibilities

• Advise clients on general business and corporate matters.
• Lead mergers and acquisitions, including asset and stock transactions, due diligence, structuring, and negotiations.
• Assist with debt and equity financings, including venture capital transactions and convertible debt.
• Advise on commercial law and contracting matters.
• Counsel emerging growth companies through various stages of the business lifecycle.
• Advise on corporate transactions, entity formation, private offerings, and securities law matters.
• Manage and develop client relationships while collaborating with attorneys and other professionals.
• Contribute to a sophisticated corporate practice and build a client base proactively.

The attorney will work with clients on a broad range of business and transactional matters and will have the opportunity to develop and grow their own practice with the support of an experienced team.

Responsibilities

• Advise clients on general business and corporate matters.
• Handle mergers and acquisitions, including asset and stock transactions, due diligence, transaction structuring, and related negotiations.
• Assist with debt and equity financings, including venture capital transactions, convertible debt, and bank financings.
• Advise clients on commercial law and contracting matters.
• Counsel emerging growth companies and startups throughout various stages of the business lifecycle.
• Advise on corporate transactions, entity formation, private offerings, and related state and federal securities law matters.
• Manage and develop relationships with clients while working collaboratively with attorneys and other professionals.
• Contribute to a sophisticated corporate practice and take an entrepreneurial approach to building a client base and practice.

Requirements

• Juris Doctor (J.D.) from an accredited law school.
• Active admission and good standing in New Hampshire required; Massachusetts admission is a plus.
• Minimum 3 years of relevant experience within a sophisticated corporate/transactional practice.
