Job summary

Colliers Engineering & Design in Holmdel, NJ, seeks a Corporate Paralegal to support the Office of the General Counsel. You will manage governance for a large family of subsidiaries, coordinate entity formation and maintenance, and assist with M&A diligence and closing activities.

The role requires strong organizational skills, attention to detail, and the ability to work independently across multiple priorities in a fast-paced environment.

Qualifications

• 5+ years as a corporate paralegal, in-house or sophisticated practice.
• Experience managing governance and entity records for multi-subsidiary orgs.
• Familiarity with mergers and acquisitions documentation and closing processes.

Responsibilities

• Maintain corporate records, minute books, org charts, and governance documents for affiliated entities.
• Draft and organize resolutions, consents, certificates, and governance filings.
• Coordinate entity formations, reorganizations, and housekeeping activities.
• Track ownership changes, shareholder documents, and governance matters.
• Assist with management services and staffing agreements docs.
• Support merger and acquisition diligence, closing checklists, and post-closing integration.
