Job summary

Munger, Tolles & Olson LLP is seeking a Governance Analyst II to support the firm’s governance program across conflicts checks, intake, ethical walls, and records management. You will interact with partners, clients, and internal teams while ensuring compliance with firm policies and outside counsel guidelines.

The role requires working on weekends as needed and offers a path within the Governance department to strengthen risk and compliance capabilities across the firm.

Qualifications

  • Bachelor's degree preferred; advanced degree a plus.

Responsibilities

  • Provide subject matter expertise to governance, including conflicts checks, new matter intake, ethical walls, records management, outside counsel guidelines, and audit letters.
  • Conduct conflicts checks for new clients/matters, pitches, and professionals; prepare and analyze conflicts reports.
  • Communicate issues to attorneys and assist with resolution; maintain matter lifecycle data in Intapp, 3E, and other systems.
  • Complete new business intake forms and support intake review processes.
  • Draft, analyze, and review engagement letters; evaluate the need for ethical walls.
  • Set up ethical walls in billing/doc management systems; monitor ethical screens.

Schedule: Thursdays - Mondays; 8 AM (PST) - 5 PM (PST) The DC schedule will fall within the range of 9 AM (EST) - 7 PM (EST)

Residency Requirements:

Washington D.C.: For all positions based in the Washington, D.C. office, residency within Washington D.C., Maryland or Virginia and within a reasonable commutable distance to the assigned office is required depending on the firm\'s discretion and the nature of the role.

Los Angeles and San Francisco Offices: For all positions based in the Los Angeles and San Francisco offices, residency within the state of California and within a reasonable commutable distance to the assigned office is required depending on the firm\'s discretion and the nature of the role.

Salary Range (LA/DC): $49.09/HR - $60.10/HR ($102,107.20 - $125,008.00 annually) *

Salary Range (SF): $44.69/HR - $60.34/HR ($92,955.20 - $125,507.20 annually) *

As a Governance Analyst II (Weekdays & Weekends), you’ll bring subject matter expertise to the Firm’s governance program, collaborating with legal, operations, and technology teams to ensure alignment with Firm policies and client outside counsel guidelines.

This core role within the Governance department is responsible for driving critical governance processes and technologies—including conflicts checks, new matter intake, ethical walls, records management, outside counsel guidelines, and audit letters.

The position involves significant interaction with partners, clients, and internal departments, and requires availability to work on weekends as part of a rotating schedule or business need.

Job Functions & Responsibilities

  • Provide subject matter expertise to the governance program, including conflicts checks, new matter intake, ethical walls, records management, outside counsel guidelines, and audit letters
  • Conduct conflicts checks for new client/matters, pitches, prospective attorneys, and professionals
  • Prepare and analyze conflicts reports to identify potential conflicts issues
  • Communicate potential conflicts issues to attorneys and other interested parties; assist with conflicts resolution
  • Document and maintain matter lifecycle data in Intapp, 3E, and other systems
  • Complete new business intake forms and provide administrative support for the intake review process
  • Draft, analyze, and review engagement letters; evaluate the need for ethical walls
  • Set up ethical walls in billing and document management systems; draft and circulate ethical screening memoranda Firmwide
  • Monitor and maintain ethical screens (e.g., add additional screened employees to ethical wall; disable ethical wall, etc.)
  • Process administrative records requests (e.g., file retrieval, transfers, etc.) from clients and other departments
  • Drive both the outside counsel guideline review process and the audit letter review process (e.g., drafting responses, tracking deadlines, liaising with partners for review and approval)
  • Advise attorneys and professionals on the Firm’s governance-related policies and procedures (e.g., conflicts, new matter intake, and records retention)
  • Collect, analyze, and prepare reports required for senior management, auditors, and other relevant stakeholders

Participate in risk and compliance initiatives and other related duties as assigned

Tools

  • Proficiency with conflicts database systems (e.g., Intapp, 3E, Aderant, Legal Key) is required
  • Proficiency with records, intake, and secure file transfer systems (e.g., Intapp, 3E, FileTrail, Varonis, Kiteworks) is desired
  • Proficiency with Microsoft Office Word, Excel, and PowerPoint is desired
  • Familiarity with Microsoft 365 (e.g., Microsoft SharePoint, Teams, and OneDrive) and document management systems is desired

Minimum Job Qualifications

  • High school diploma or GED required
  • Bachelor\'s degree preferred, advanced degree a plus
  • 3+ years law firm conflicts, governance, or records experience
  • Excellent attention to detail, critical thinking, and analytical skills
  • Ability to work proactively and efficiently in a fast-paced environment, interacting professionally with others
  • Dedicated to excellent customer service
  • Ability to communicate effectively, verbally and in writing
  • Ability to follow directions and collaborate effectively with a team
  • Familiarity with project management principals and methodologies
