Job summary

Stableton is seeking an experienced, hands-on Legal Counsel to support the investment and operations teams across a growing multi-jurisdictional platform in the US, Switzerland, and Luxembourg. You will report to the CFO and work with the investment team on US growth equity and pre-IPO transactions, gaining exposure to world-class private tech companies.

Qualifications

• Significant hands-on transactional experience in US growth equity and pre-IPO deals and private fund investments.
• US bar admission preferred; state flexibility.
• Strong working knowledge of US securities law and private markets regulation; SEC-registered investment adviser obligations a plus.
• Ability to move quickly on live deals and provide actionable guidance to the business.
• Ability to work independently and advise senior stakeholders without a large legal team.
• Commercially pragmatic and able to distill legal risk into actionable guidance.
• Digitally savvy with interest in AI and modern tooling to improve workflows.
• Excellent written and verbal English communication.
• Right to work in the base location (US, Switzerland, Germany or Luxembourg, UK) at time of application; visa sponsorship not available.

Responsibilities

• Review and negotiate transaction documents for US growth equity and pre-IPO deals and private fund investments.
• Provide direct, actionable legal guidance during deal execution and diligence.
• Own corporate governance and entity management across the firm's international group structure.
• Collaborate with finance and operations on cross-functional legal matters.
• Coordinate with external counsel where specialist advice is required.
• Build and maintain playbooks, templates, and review workflows that speed up deal turnaround.
• Track legal and regulatory developments and flag implications for the firm's activity.
