This initiative allows them and other health NGOs and businesses to achieve greater impact, deliver efficiencies, and provide greater value for consumers, clients, host governments, stakeholders, and the global health sector. It creates new opportunities for leadership.

Job Description

The General Counsel serves as the senior-most legal advisor to the HealthX Partners Affiliated Group, reporting directly to the CEO. The role oversees all legal functions, providing strategic legal counsel across affiliated entities, branch offices, and subsidiaries, both for-profit and nonprofit. The responsibilities include ensuring legal compliance, mitigating risks, and upholding ethical practices, all while supporting the group's goals. The role also acts as corporate secretary and supervises one legal support staff.

  • Provides strategic legal counsel to the HXP executive team and board on laws affecting operations. Serves as Corporate Secretary, ensuring compliance with governance requirements and overseeing board materials and corporate actions.
  • Manages legal representation for all HXP group matters, including disputes, investigations, and regulatory actions. Oversees litigation, arbitration, and contractual disputes, managing outside counsel and arranging pro bono services.
  • Oversees legal aspects of entity registrations, compliance, mergers, acquisitions, and collaborations at both group and entity levels.
  • Provides legal support to the HXP group, including funding negotiations, document reviews, data privacy, risk oversight, HR legal matters, audits, and IP management. Supervises one legal support staff.
  • Embodies a commitment to humane change, customer centricity, and a growth mindset. Fosters the culture and values of HXP and its subsidiaries.
  • Less than 10% international travel.

Qualifications
  • Juris Doctor degree from an ABA-accredited law school or international equivalent.
  • At least 15 years of experience in labor law, nonprofit law, litigation, mergers/acquisitions, corporate structuring, and related fields.
  • Licensed to practice law in any US state or territory in good standing.
  • Deep knowledge of legal issues related to 501(c)(3) organizations, international development, and donor regulations.
  • Experience advising complex networks and understanding IRS regulations for supporting organizations preferred.
  • Proven leadership in enhancing global programs, policies, and systems.
  • Strong problem-solving, communication, negotiation, and multi-tasking skills in dynamic environments.
  • Fluency in English; French skills preferred.

Additional Information

Salary Range

HXP is committed to pay equity and transparency, offering gross annual salaries based on location: $191,000 (minimum) - $239,000 (midpoint) - $299,000 (maximum). Actual salary will depend on qualifications and experience. The organization supports interactions with PSI and EGPAF systems and staff during recruitment.
