Job Description

The General Counsel serves as the senior-most legal advisor to HealthX Partners Affiliated Group, reporting directly to the CEO. The role oversees all legal functions and provides strategic legal counsel across the network of affiliated entities, branch offices, and subsidiaries, whether for-profit or nonprofit. It ensures legal compliance, mitigates risks, and upholds ethical business practices, supporting the goals of the group. The role also acts as corporate secretary and supervises one legal support position.

Primary Responsibilities
  1. Legal Advisory and Corporate Governance: Provides strategic legal counsel to the executive team and board of directors, serves as Corporate Secretary, ensures compliance with governance requirements, and oversees the preparation of board materials.
  2. Legal Representation and Dispute Management: Manages legal representation for group matters, develops legal strategies, oversees litigation and disputes, and manages outside counsel, including international firms.
  3. Entity Compliance and Mergers & Acquisitions: Oversees legal aspects of entity registrations, compliance, and leads legal activities related to mergers, acquisitions, and strategic partnerships.
  4. Legal Support for Group Operations: Provides legal support on funding agreements, document review, data privacy, risk management, HR legal matters, audits, and intellectual property. Supervises one legal support staff.
  5. Leadership and Culture: Embodies a commitment to humane change, customer centricity, and a growth mindset. Fosters the culture and values of the group and its subsidiaries.
Qualifications
  • Doctorate Degree (Juris Doctor) from an ABA-accredited law school.
  • Minimum of 15 years' experience in relevant legal fields including labor-employment laws, tax-exempt entities, litigation, mergers/acquisitions, and corporate law.
  • Licensed to practice law in any US state or territory.
  • Deep knowledge of legal issues related to 501(c)(3) organizations, international development, and USG or other donors.
  • Experience advising complex organizations and understanding IRS regulations.
  • Proven leadership and strategic thinking skills.
  • Excellent communication, analytical, negotiation, and multitasking abilities.
  • Fluency in English; French skills are preferred.

Additional Information

Salary Range: $191,000 - $239,000 - $299,000, depending on location and experience. Actual salary will be determined based on various factors including qualifications and market conditions.
