WHO WE NEED:

Arootah is seeking experienced Chief Legal Counsel or General Counsel to consult for our prestigious client base. You will work with Hedge Fund and Family Office clients, providing expert legal advice based on your prior leadership experience in developing, implementing, and managing comprehensive legal and regulatory programs for top-tier hedge funds or family offices.

What You'll Do

• Conduct best practice reviews.
• Develop realistic and effective action plans.
• Break goals into actionable steps.
• Advise on vendor selection and oversight.
• Create and implement policies, procedures, and control measures.
• Evaluate client progress using KPIs and scoring matrices.
• Handle special projects or other needs.

Who You Are

• Manage all aspects of legal functions, ensuring compliance with securities laws, rules, and regulations applicable to Registered Investment Advisers and private funds, including the Investment Adviser Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and others such as FINRA, NFA/CFTC, ERISA, and corporate law.
• Collaborate with the Founder/Principal, Chief Compliance Officer, and outside counsel to ensure adherence to legal and regulatory standards across all business entities and funds.
• Manage relationships with outside counsel, draft legal documentation, negotiate agreements like LPAs and side letters with investors.
• Review and negotiate organizational documents related to fund formation and disclosure, including LPAs, LLC Agreements, Share Purchase Agreements, Subscription Agreements, NDAs, Non-Reliance Letters, and Side Letters, for U.S. and non-U.S. funds.
• Advise on the offer and sale of investment products and services domestically and internationally.
• Monitor legal and regulatory changes, conduct trainings, and support implementation of compliance protocols.
• Work with internal teams on projects, vendor contracts, and employment/labor issues, ensuring compliance with mandates.
• Draft and negotiate investment management agreements for US and international clients.
• Support legal aspects of private equity, hedge fund, direct equity, and co-investment transactions.
• Assist with litigation matters, including discovery and subpoenas.

Qualifications

• Bachelor’s Degree in Law, Finance, Business Administration, or related field.
• Juris Doctor or equivalent law degree.
• Member in good standing of the bar in one or more U.S. states.
• 12+ years as Chief Legal Counsel or General Counsel at a leading Hedge Fund or Family Office.
• 8+ years of experience with federal securities laws and regulations guiding financial institutions, including the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, and related agencies.
• Extensive experience with various investment vehicles, security types, asset classes, and regulatory agencies domestically and internationally.
• Excellent communication skills, sound judgment, discretion, and experience as a primary legal and compliance contact.
• Ability to identify process improvements and understand the intersection of legal and compliance issues to mitigate risk.
