General/Corporate Counsel – Adams & Martin Group

Location: Irvine, CA – Onsite, Full Time.

A well‑established and rapidly growing private credit / equipment finance company is seeking an in‑house General/Corporate Counsel. This is a rare opportunity to build and lead the legal function for a highly respected financial services organization that funds multi‑million‑dollar equipment and project finance transactions nationwide.

Key Responsibilities

• Partner directly with executive management to set legal strategy and own contract negotiations for complex, high‑value transactions.
• Act as the primary legal advisor to the executive team on structuring, documenting, and executing major equipment and project funding deals.
• Draft, review, and negotiate equipment lease and loan agreements, assignments, vendor contracts, NDAs, landlord waivers, and letters of intent.
• Ensure lien perfection, assignments, and compliance with multi‑state sales and use tax requirements.
• Manage and mentor the VP of Lease Administration and documentation team to ensure efficient, audit‑ready processes for transactions exceeding $100 million.
• Coordinate and manage outside counsel for employment, litigation, IP, and other specialty matters as needed, while controlling scope and spend.
• Design scalable policies, SOPs, and legal risk frameworks to support rapid growth.

What We're Looking For

• JD from an accredited law school and licensed to practice in at least one U.S. jurisdiction (California preferred or ability to register as in‑house counsel).
• 5–8 years of experience in commercial finance, equipment finance, or related transactional law with extensive contract negotiation and drafting background.
• Experience with secured financing, UCC perfection, and high‑value commercial lending is strongly preferred.
• Proven leadership in managing legal and documentation teams.
• Ability to thrive in a fast‑paced, collaborative environment while balancing independent execution with team partnership.

Compensation & Benefits

• Base Salary: $170,000 – $200,000 per year.
• Bonus: Annual bonus target of 10–15 % of base salary, based on company and individual performance.

Schedule & Location

• Onsite: Irvine, CA headquarters (daily).
• Standard hours 8:00 a.m.–5:00 p.m., with flexibility for occasional personal obligations.
