Responsibilities

• Assist with private fund formation, closings, investments and transactions.
• Draft and review fund formation and subscription documents.
• Assist with private placement memoranda and related documentation.
• Support regulatory matters, including AIFMD and UK/EU requirements.
• Manage closing checklists, signatures and document execution.
• Liaise with clients, investors and external service providers.
• Conduct legal and regulatory research.
• Maintain fund documentation, trackers and electronic files.
• Provide wider transactional and administrative support to the team.

Job Description

The Private Funds Paralegal will support the team across the full lifecycle of private investment funds, including:

• Assisting with private fund formation, closings, investments and transactions
• Drafting and reviewing fund formation and subscription documents
• Assisting with private placement memoranda and related documentation
• Supporting regulatory matters, including AIFMD and UK and EU requirements
• Managing closing checklists, signatures and document execution
• Liaising with clients, investors and external service providers
• Conducting legal and regulatory research
• Maintaining fund documentation, trackers and electronic files
• Providing wider transactional and administrative support to the team

The Successful Applicant

The successful candidate will be degree educated with excellent drafting, communication and organisational skills. You will be highly detail-oriented, resilient and comfortable managing multiple deadlines in a fast-paced environment.

Strong Microsoft Office and Excel skills are essential, alongside the ability to work independently and as part of a team. Previous legal or Private Funds experience would be advantageous.
