Job summary

ABA Search, Inc. is seeking a Fund Formation Paralegal in Chicago to support venture fund matters, from organizational documents to investor diligence and SEC reporting. This role offers substantive drafting, research, and client service in a fast-paced team environment.

You will work with attorneys and senior paralegals, draft and file notices, review diligence, and ensure timely SEC filings while managing timekeeping and multiple supervisors with tact and reliability.

Qualifications

• Bachelor's degree required.
• 1–3 years of fund formation experience.
• Ability to bill a minimum of 1,600 hours annually.
• Availability for overtime as required.
• Proficiency with Microsoft Office and iManage or equivalent firm systems.

Responsibilities

• Prepare and maintain organizational documents, including partnership and LLC agreements.
• Draft side letters, transfer agreements, admission agreements, and amendments.
• Conduct investor due diligence.
• Research federal and state securities regulations for fund formations.
• Prepare and file required notices.
• Conduct due diligence review and assist with opinions and backup.
• Handle SEC compliance reporting for venture fund clients.
• Manage timekeeping and other administrative tasks accurately.

Fund Formation Paralegal Chicago | $70,000-$100,000 + Overtime

What You'll Do

As part of the fund formation team, you'll help venture fund clients launch and maintain their funds while supporting attorneys and senior paralegals across the full life cycle of fund work.

• Prepare and maintain organizational documents, including partnership and limited liability company agreements
• Draft side letters, transfer agreements, admission agreements, and other amendments
• Conduct investor suitability due diligence
• Research federal and state securities regulations in connection with fund formations
• Prepare and file required notices
• Conduct due diligence document review and assist with preparing opinions and supporting backup
• Handle SEC compliance reporting for venture fund clients related to their public company stock portfolios
• Manage timekeeping and administrative responsibilities promptly and accurately

What You'll Bring

• Required: Bachelor's degree
• 1-3 years of fund formation experience
• Ability to bill a minimum of 1,600 hours annually
• Availability to work overtime as required
• Working knowledge of Microsoft Office and the ability to learn iManage and other firm technology
• Excellent written communication and proofreading skills, with strong attention to detail
• Ability to work independently and as part of a team for multiple supervisors, prioritizing shifting assignments and meeting deadlines under pressure with initiative, diplomacy, and tact

Especially Helpful: A paralegal certificate is preferred.
