ABA Search, Inc. in San Francisco seeks a Senior Fund Formation Paralegal to support venture funds and emerging companies from formation through ongoing compliance. The role is hybrid in San Francisco with overtime eligibility.

The ideal candidate has 5+ years of paralegal experience in fund formation, a Bachelor's degree, and the ability to bill at least 1,600 hours annually, with strong writing and analytical skills.

Qualifications

• Bachelor's degree required.
• Minimum of 5 years of paralegal experience, preferably in fund formation.
• Ability to bill a minimum of 1,600 hours annually.
• Working knowledge of Microsoft Office and the ability to learn iManage and other firm technology.

Responsibilities

• Prepare and maintain organizational documents for venture funds and emerging companies.
• Prepare partnership and LLC agreements, side letters, transfer agreements, admission agreements, and amendments.
• Conduct investor suitability due diligence.
• Research federal and state securities regulations related to fund formations, and file required notices.
• Conduct due diligence document reviews and assist with opinions and supporting backup.
• Handle SEC compliance reporting for venture fund clients' public company stock portfolios.
• Manage timekeeping and administrative responsibilities promptly and accurately.

What You’ll Do

As part of the fund formation team, you’ll support attorneys and senior paralegals as venture funds and emerging companies move from formation through ongoing compliance.

You will:

• Prepare and maintain organizational documents for venture funds and emerging companies
• Prepare partnership and limited liability company agreements, side letters, transfer agreements, admission agreements, and amendments
• Conduct investor suitability due diligence
• Research federal and state securities regulations related to fund formations, and prepare and file required notices
• Conduct due diligence document reviews and assist with opinions and supporting backup
• Handle SEC compliance reporting for venture fund clients' public company stock portfolios
• Manage timekeeping and administrative responsibilities promptly and accurately
