Qualifications

• JD from an ABA accredited U.S. law school.
• Active U.S. bar admission relating to NY or NC.
• Experience advising on fund finance, leveraged finance, banking, private credit, or related financing transactions.
• Strong drafting, negotiation, and transaction management skills.

Responsibilities

• Advise sponsors, funds, asset managers, banks, and lenders on fund finance transactions.
• Structure, negotiate, and document NAV facilities for private equity and asset managers.
• Support subscription facilities, capital call facilities, and hybrid fund financings.
• Counsel private credit funds and evergreen vehicles on liquidity and leverage solutions.
• Work on GP financings, management company facilities, and co‑investment financing transactions.
• Advise on continuation fund transactions, secondaries deals, and mature fund leverage structures.
• Represent financial institutions on subscription facilities and fund financing transactions.

What You'll Do

• Advise sponsors, funds, asset managers, banks, and alternative lenders on sophisticated fund finance transactions.
• Structure, negotiate, and document NAV facilities for private equity, secondaries, and alternative asset managers.
• Support subscription credit facilities, capital call facilities, and hybrid fund financings across private equity, credit, and real assets funds.
• Counsel private credit funds and evergreen vehicles on tailored liquidity and leverage solutions.
• Work on GP financings, management company facilities, and co‑investment financing transactions.
• Advise on continuation fund transactions, secondaries deals, portfolio liquidity solutions, and mature fund leverage structures.
• Represent leading financial institutions on subscription facilities, fund financing transactions, and strategic fund‑related investments.
• Manage amendments, restructurings, refinancings, and facility upsizes across established fund finance platforms.
• Collaborate with finance, funds, regulatory, tax, and restructuring teams on complex cross‑border matters.

What You'll Need

• JD from an ABA accredited U.S. law school.
• Active U.S. bar admission relating to your chosen office (NY or NC).
• Experience advising on fund finance, leveraged finance, banking, private credit, structured finance, or related financing transactions.
• Strong drafting, negotiation, and transaction management skills.
• Ability to work directly with sophisticated institutional clients and internal stakeholders.
• Excellent analytical, communication, and project management abilities.
