Job summary

Boutique law firm is seeking a Fund Attorney with 7+ years of venture fund experience for a remote role. Must be admitted to the New York bar and in good standing. The position requires experience in fund formation, investor negotiation, and knowledge of securities exemptions and other fund-related regulations.

Qualifications

• Admitted and in good standing in a U.S. state bar, New York admission required.
• 7+ years of law firm experience in investment funds, including fund formation and investor negotiation.
• Working knowledge of Securities Act private offering exemptions, Investment Company Act exclusions, and Advisers Act registration and exemption questions.
• Strong drafting, negotiation and communication skills; able to run multiple fund launches and closings simultaneously.

We are working with a growing Boutique law firm, looking to bring on an Fund Attorney to join their team. Specifically, they are looking for someone with 7+ years of Venture fund experience. This role is remote and you must be licensed in New York.

Responsibilities:

• Draft and negotiate limited partnership agreements, operating agreements, private placement memoranda, subscription documents and side letters
• Structure fund entities, parallel and feeder vehicles, blockers, general partners and management companies, including carried interest and distribution waterfall mechanics
• Advise sponsors on economic terms and on governance, key person, removal and successor fund provisions
• Work with the finance and corporate teams on portfolio investments and on the facilities that finance fund and SPV assets
• Run investor onboarding and subscription processes and coordinate closings on fund raises

Requirement:

• Admitted and in good standing in a U.S. state bar. New York admission
• 7+ years of law firm experience in investment funds, including fund formation and investor negotiation
• Working knowledge of the Securities Act private offering exemptions, the Investment Company Act exclusions, and Investment Advisers Act registration and exemption questions
• Strong drafting, negotiation and communication skills, and the ability to run several fund launches and closings at once
• Private credit or specialty finance funds, warehouse or forward flow vehicles, and bankruptcy-remote SPVs.
• Experience with management company and GP-level economics, including carry vesting and co-invest allocation

The annual salary for this position is between 250k-350k. Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
