Job summary

gpac is seeking an experienced Franchise Paralegal in Falls Church, VA. This hybrid role after a 90-day probation period supports a respected law firm’s Franchise team, handling corporate transactions and governance matters.

You will draft and review closing documents, conduct due diligence, maintain minute books, and coordinate closing logistics. A paralegal certificate is preferred but not required; 3+ years in corporate transactional work or franchise law is expected.

Qualifications

• 3+ years in corporate transactional paralegal work, or 3+ years in franchise law.
• Experience handling mergers, acquisitions, and related governance tasks.
• Strong document management and organizational skills.

Job Title: Franchise Paralegal

Location: Falls Church, VA (Hybrid after 90 day probational period)

The Opportunity: A highly respected law firm in Falls Church is seeking an experienced Corporate Transactional Paralegal to join their Franchise team.

Responsibilities

• Assist attorneys in all phases of corporate transactions, including mergers and acquisitions, reorganizations, financings, and corporate governance matters.
• Draft, review, and organize a wide range of legal documents, including but not limited to, corporate resolutions, consents, certificates, closing documents, and ancillary agreements.
• Conduct due diligence, including entity searches, lien searches, and litigation searches, and assist in the preparation of due diligence reports and summaries.
• Manage and maintain corporate minute books and other corporate records for various entities.
• Coordinate and manage closing logistics, including preparing closing checklists, signature packets, and post-closing binders.
• Prepare and file corporate formation documents, foreign qualifications, and other corporate filings with state and federal agencies.
• Assist with post-closing integration and compliance matters.
• Maintain organized and accessible electronic and physical files.

Qualifications

• Paralegal Certificate is preferred but not required
• A minimum of 3+ years of dedicated experience as a Corporate Transactional Paralegal, preferably within a law firm or corporate legal department with a significant M&A focus OR 3+ years of franchise law
• Demonstrated expertise in managing complex corporate transactions from inception to closing.
• Strong understanding of corporate governance principles and entity maintenance.
• Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and experience with document management systems.
• Ability to work independently, prioritize tasks, and manage multiple projects simultaneously in a fast-paced environment.
