Job summary

Basis is seeking its first in-house Legal Counsel in NYC to build the legal foundation for growth. You will manage day-to-day contracting, governance, and strategic partnerships, working with leadership across Finance, Sales, People, and Operations.

You\'ll develop templates and playbooks, tighten processes, and ensure accurate corporate records as Basis scales. This is a high-ownership role designed for an ambitious attorney who wants broad exposure.

Qualifications

• 2–5 years of experience in corporate or commercial law at a leading law firm or in-house.
• J.D. from a top law school and membership in good standing with at least one US state bar.
• Experience drafting, reviewing, and negotiating commercial agreements including SaaS, vendor contracts, NDAs, data-processing terms, and strategic partnerships.
• Strong grounding in governance, capitalization, equity matters, board processes, and financing transactions.
• Excellent judgment and ability to assess risk with business pragmatism.
• Clear writing and ability to explain complex legal questions plainly.
• Hands-on approach building processes and templates with limited legal support.

Responsibilities

• Own day-to-day contracting needs, including reviewing, drafting, and negotiating customer and vendor agreements.
• Develop templates, playbooks, and contract-management processes to scale legal work.
• Support corporate governance and board-related matters, including cap table management and equity administration.
• Advise on strategic partnerships and other non-standard business arrangements.
• Collaborate with Finance, Sales, People, and Operations to align legal with company growth.
• Ensure corporate records and governance obligations remain accurate as the company scales.
