Job summary

MindSpring Partners LLC is seeking a Finance Paralegal with deep experience in U.C.C. filings, banking transactions, and closing processes to support a sophisticated legal team on large-scale commercial finance transactions.

In this role you will prepare financing statements, conduct lien searches, and coordinate closings from due diligence through post-closing activities. The ideal candidate has 10+ years at a law firm, strong ABA credentials, and proficiency with DocuSign and document

Qualifications

• 10+ years of paralegal experience at a law firm with a focus on commercial finance.
• Strong knowledge of U.C.C. Article 9 and financing statements.
• Experience handling closings, lien searches, and due diligence materials.
• Bachelor’s degree with strong academics; ABA-accredited paralegal certificate.
• Proficiency with DocuSign and legal management software.

Responsibilities

• Support attorneys on commercial loans, securitizations, and other corporate finance transactions.
• Prepare and coordinate U.C.C. financing statements and fixture filings.
• Research Article 9 and U.C.C. issues.
• Review lien search reports and prepare detailed lien summaries.
• Obtain formation/incorporation documents and draft ancillary closing documents.
• Review, organize, and summarize due diligence materials.
• Help coordinate closings and post-closing activities.
• Review closing documents for completeness and compliance.
• Prepare and distribute closing books.
• Jump in on additional projects as needed by attorneys and the paralegal manager.

What We're Looking For

• 10+ years of experience at a law firm
• Strong background in banking and/or financial transactions
• Demonstrated U.C.C. experience and proficiency
• Bachelor’s degree with strong academic credentials
• Paralegal Certificate from an ABA-accredited program
• Experience with DocuSign
• Familiarity with legal case/document management technology
