Job summary

Confidential Employer in New York seeks an experienced finance attorney with 3+ years of finance transactional experience and an active New York law license to lead structuring, documenting, and closing complex transactions.

You will represent lenders and borrowers across private equity acquisitions and mezzanine debt, collaborate with attorneys, and mentor junior associates in a fast-paced, client-focused environment.

Qualifications

  • J.D. from an accredited law school.
  • 3+ years of finance transactional experience.
  • Active New York law license.
  • Experience structuring, documenting, and closing financing transactions.
  • Experience representing lenders and/or borrowers; on both sides preferred.

Responsibilities

  • Manage and participate in all aspects of finance transactions, including structuring, negotiation, documentation, and closing.
  • Represent lenders and borrowers in sophisticated financing and acquisition transactions.
  • Work on senior and mezzanine debt transactions, particularly those involving private equity acquisitions.
  • Analyze and negotiate complex financing documents and transaction structures.
  • Work directly with clients to understand objectives and move transactions toward closing.
  • Support transactions across a variety of industries and middle-market businesses.
  • Participate in business development activities and help strengthen client relationships.
  • Delegate and supervise work performed by junior associates.
  • Collaborate with attorneys across offices to efficiently execute complex transactions.
  • Take ownership of matters with sound judgment and attention to detail.

  • Exposure to private equity acquisitions, senior debt, and/or mezzanine debt transactions.
  • Strong written and oral communication skills.
  • Excellent analytical skills and business judgment.
  • Motivated self-starter with a team-oriented mentality.
  • Ability to work independently while collaborating effectively with colleagues and clients.
  • Permanent authorization to work in the United States.
