Role Description

The role involves supporting the Corporate Governance team in governance services and company secretarial functions, focusing on securities filings, board materials, and compliance. It also includes supporting strategic projects.

Responsibilities

  1. Coordinate with the governance team on corporate secretarial services
  2. Draft resolutions, minutes, and governance documents
  3. Assist with SEC and statutory filings
  4. Track insider stock holdings and related filings
  5. Prepare proxy statement timelines and liaise with vendors
  6. Conduct benchmarking and research on governance matters
  7. Support governance and shareholder-related activities
  8. Assist with corporate financings, reorganizations, mergers, acquisitions
  9. Collaborate with departments like Treasury, Tax, Finance
  10. Prepare Board materials
  11. Review governance documents from external sources
  12. Support internal legal team as needed

Minimum Education/Experience

Bachelor's degree with 5+ years of relevant experience or Master's with 3+ years. Equivalent work experience may suffice.

Preferred Certifications

  • Paralegal certification

  • Knowledge of SEC filings (Section 16, Form 3, 4, 8-K, 10-Q, 10-K, Proxy)
