Your Focus

  1. Growth-Centric Mindset: Demonstrate a growth mindset to protect and promote the business, focusing on closing deals, using sound judgment, seeking simplicity, trusting colleagues, and considering your audience.
  2. Capital Markets and Financing Transactions: Lead support for complex transactions, manage deal processes, draft and negotiate documents, oversee obligations, and advise on legal issues and risks.
  3. Bitcoin-Related Initiatives: Support strategic Bitcoin initiatives such as treasury management, development, education, and advocacy.
  4. General Corporate and Governance: Assist with governance matters, prepare board materials, develop policies, advise on employee equity, and manage domestic subsidiary governance.
  5. Securities Law and Compliance: Ensure compliance with securities laws, prepare SEC filings, advise on investor relations, and monitor regulatory developments.
  6. Commercial Matters: Draft and negotiate contracts, including vendor and NDA agreements.
  7. Finance & Tax: Collaborate with Finance, Treasury, and Tax teams on banking, investment, employee equity, intercompany agreements, tax planning, and risk management.
  8. External Counsel Management: Manage external legal counsel effectively and within budget.
  9. Training and Development: Provide legal and compliance training, stay updated on legal trends, and contribute to best practices.

Location: This is a remote role within the US.

Qualifications

  • J.D. from a U.S. accredited law school
  • Licensed to practice law in at least one U.S. jurisdiction
  • 4-8 years of experience in reputable law firms or in-house departments
  • Extensive experience with capital markets/financing transactions and corporate matters
  • Knowledge of corporate governance and securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and Sarbanes-Oxley
  • Ability to manage multiple projects in a fast-paced environment
  • Self-starter with project ownership and cross-departmental collaboration skills
  • Excellent communication, interpersonal skills, and judgment
