Page Executive is seeking a senior legal counsel to support our equity finance and margin lending activities in a hybrid NYC setting. The role emphasizes cross‑functional collaboration with credit, risk, and operations to address regulatory and transactional matters.

Ideal candidates hold a US JD with NY Bar admission and have 12–15+ years in financial services, including margin lending and delta-one experience.

Qualifications

• US law degree with admission to NY State Bar.
• 12–15+ years of legal experience in financial services.
• Experience with margin lending, equity finance, and delta-one products.

Responsibilities

• Provide legal support to business units on equity sales and trading platforms, focusing on equity finance (margin lending, equity repo, securities lending, delta-one swaps).
• Support LP fund financing, full-recourse margin lending, equity repo, securities lending and delta-one equity swaps.
• Provide guidance on margin lending regulations, FINRA, Reg T, and Reg U compliance.
• Provide guidance on Dodd-Frank and rules for Security-Based Swaps and SBSDs.
• Draft and negotiate credit agreements, loan agreements and related fund financing and margin lending documents.
• Draft and negotiate securities financing documents, including MRAs and MSLAs; maintain and enhance standard templates.
• Partner with Credit, Market Risk, Collateral Management, Operations and other stakeholders on legal and risk matters.

• Provide legal support to business units with respect to equity sales and trading platform, focusing on equity finance (margin lending, equity repo, securities lending, delta‑one swaps)
• Support LP fund financing, full‑recourse margin lending, equity repo, securities lending and delta‑one equity swaps
• Provide legal guidance on margin lending regulations, FINRA, Reg T, and Reg U compliance
• Provide guidance on Dodd‑Frank and rules applicable to Security‑Based Swaps and Security‑Based Swap Dealers
• Draft and negotiate credit agreements, loan agreements and related fund financing and margin lending documentation
• Draft and negotiate securities financing documentation, including MRAs and MSLAs and equity swap MCAs; maintain and enhance standard documentation templates
• Partner closely with Credit, Market Risk, Collateral Management, Operations, and other internal stakeholders to address legal, operational and risk matters

The Successful Applicant

• JD from US law school
• Admission to NY State Bar
• 12‑15+ years practicing law, ideally a combination of top AmLaw 100 firm and in‑house within a financial services institution, providing support to equity finance business
• Must have strong margin lending, equity repo and delta‑one experience
• Strong experience with and understanding of securities regulations, including Dodd‑Frank, Reg T, Reg U
• Ability to serve as a trusted business partner to internal clients
