Qualifications

• J.D. from an accredited law school; active state bar membership.
• 5–10 years of relevant litigation experience, ideally in both law firm and in-house roles.
• Excellent written and oral communication skills; ability to translate complex legal concepts into business guidance.

Responsibilities

• Provide counsel on executive compensation programs, including LTIPs, RSUs and other equity arrangements.
• Advise on securities law matters related to equity compensation and reporting requirements.
• Support proxy disclosures, Forms 3/4/5 and governance-related disclosures.
