The successful candidate will have a J.D. from an accredited law school, 2–4 years of relevant experience, and strong drafting and communication skills.

Qualifications

• J.D. from an accredited law school with a strong academic record.
• 2–4 years of experience in executive compensation, equity incentive plans, executive employment arrangements, compensatory partnership interests, ESOP transactions, or employee benefits.
• Exceptional analytical, drafting, and communication skills.

Responsibilities

• Advise clients on executive compensation arrangements, including employment, severance, change-in-control, and retention agreements.
• Assist with design, implementation, and administration of equity and incentive compensation programs.
• Counsel on compensatory partnership interests and related compensation structures.
• Support ESOP transactions and ongoing ESOP compliance matters.
• Provide guidance on employee benefits issues in mergers, acquisitions, and other corporate transactions.
• Conduct legal research, draft agreements and plan documents, and assist with regulatory compliance matters.
