Qualifications

• 0–2 years of legal experience; clerkship, internship or fellowship in corporate transactions is a plus.
• Admission to practice law in Nebraska, or current eligibility for admission.
• D. from an accredited law school with a strong academic record.
• Clear and concise communication of complex legal concepts in written and oral form.

Responsibilities

• Support senior attorneys in all phases of M&A and investment transactions, including structuring, due diligence, negotiation, drafting, execution, closing and post-closing integration.
• Conduct legal due diligence reviews under guidance and summarize findings for deal teams.
• Prepare initial drafts of transactional documents—purchase agreements, disclosure schedules, and ancillary agreements.
• Perform legal research on regulatory, corporate governance, and antitrust considerations affecting transactions.
• Analyze legal and business risks and prepare research memoranda for supervising attorneys.
• Collaborate as part of a high-performing deal team with increasing responsibility.
